Sorato Digital - Terms and Conditions

By engaging Sorato Digital’s services, you acknowledge and agree to these Terms & Conditions (“Terms”) which govern the relationship between you (“Client”, “you”, “your”) and Sorato Digital (“we”, “us”, “our”), a business line of Sorato International Group.
These Terms apply to all operational consulting services provided through Sorato Digital, including diagnostic audits, process reviews, recommendations, and deliverables.
1. Scope of Services
Sorato Digital provides advisory and operational support to e-commerce merchants and partners. Our Services may include:
Intake and workflow analysis
Operational audits (deliveries, COD, returns, complaints)
Recommendations and implementation plans
Our Services are consulting in nature and do not guarantee specific commercial outcomes such as revenue growth, operational performance benchmarks, or financial results.
2. Client Responsibility
You agree to provide accurate, complete, and timely information and access as reasonably required for Sorato Digital to perform the Services. Sorato Digital is not liable for any delays, failures, or additional costs resulting from inaccurate, incomplete, or late information provided by you.
3. Fees and Payment
All fees are due in accordance with the terms in the signed engagement or invoice.
Work will not commence until payment is received as agreed.
If payment is late or not received, Sorato Digital reserves the right to suspend or terminate Services until payment is made.
4. Commencement and Changes to Services
Services begin once all required information and payment are received.
Any change in the scope after the Services have started may result in additional fees and revised timelines.
5. Third-Party Services
If external providers (e.g., courier companies, accountants, software tools) are involved in delivering parts of the Service, you are responsible for any associated third-party costs. Sorato Digital is not liable for the performance, errors, or delays of external third parties.
6. Confidentiality
All business information and materials you provide are treated as confidential. We will not disclose such materials except:
With your consent
To fulfil contractual obligations
As required by applicable law
7. Limitation of Liability
To the fullest extent permitted by law, Sorato Digital’s liability arising from or related to these Terms shall not exceed the total amount of fees paid by you for the Services in question.
Sorato Digital will not be liable for:
Loss of profit or revenue
Indirect, incidental, special, or consequential damages
Any damage resulting from data loss, business interruption, or third-party failure
This limitation applies regardless of the form of action or theory of liability.
8. No Outcome Guarantees
You acknowledge and agree that Sorato Digital does not guarantee specific operational or commercial results (e.g., improved metrics, increased revenue, reduced delivery failures). All advice and deliverables are based on the information available at the time of the engagement.
9. Termination
Either party may terminate the engagement in writing if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days after written notice.
Termination does not relieve you from your obligation to pay all fees accrued up to the date of termination.
10. Force Majeure
Sorato Digital will not be liable for delays or failure of its obligations under these Terms due to events beyond reasonable control, including natural disasters, strikes, pandemics, government actions, or other unforeseeable events.
11. Governing Law and Dispute Resolution
These Terms are governed by Moroccan law. Any disputes that cannot be resolved through good-faith negotiation will be subject to the exclusive jurisdiction of the courts of Morocco.
12. Communication
All official notices or communications regarding these Terms must be delivered via email or through other written communication channels as mutually agreed.
13. Changes to These Terms
Sorato Digital may update these Terms from time to time. Updated Terms will be posted to the website with a revised “Last updated” date. Continued use of Sorato Digital services constitutes acceptance of the updated Terms.
